§ 1 GENERAL PROVISIONS

1. These General Terms of Sale (hereinafter: GTS) set out the rules of commercial cooperation between the Seller and the Buyer, in particular they govern the terms of concluding and performing contracts for the sale of goods offered by the Seller.
2. The terms used in the GTS shall mean:
   1. GTS – the General Terms of Sale of contracts concluded by PHU BOMI Michalina Kołcz,
   2. Seller – PHU BOMI Michalina Kołcz, hereinafter referred to as BOMI,
   3. Buyer – a contractor remaining in commercial cooperation with the Seller, being a party to the sales contract,
   4. Goods – all kinds of products and services offered by BOMI.
3. These GTS constitute an integral part of all sales contracts concluded with BOMI, unless the parties agree on different terms in writing.
4. The parties exclude the possibility of applying any of the Buyer's contract templates, insofar as they conflict with these GTS.
5. BOMI provides the Buyer with the GTS in paper or electronic form.
6. In the case of ongoing commercial cooperation between the Buyer and BOMI, acceptance of the GTS with one order means they apply to subsequent orders and sales contracts.

§ 2 CONTRACTING PROCEDURE

1. Information about the goods offered by BOMI, including offers and advertisements, is for information purposes only and does not constitute an offer within the meaning of civil law provisions.
2. Sales offers are drawn up in writing and delivered to the Buyer by post or e-mail. Any verbal arrangements do not constitute a binding commercial offer.
3. The Buyer's orders should include the company name, specification of the goods, the delivery deadline, the price and the delivery terms.
4. In the case of orders that are not a response to an offer or that contain changes, the contract is concluded only after the order has been confirmed by BOMI.
5. At the Buyer's request, BOMI will issue a written order confirmation.
6. BOMI reserves the right to deliver the goods in a quantity deviating from the order by +/- 10%.
7. If the contract cannot be performed for reasons beyond BOMI's control, BOMI has the right to withdraw from the contract within 30 days.
8. BOMI retains ownership of the goods until the Buyer has paid the amount due in full.
9. In the event of an infringement of BOMI's ownership rights, BOMI may charge a contractual penalty amounting to 1.5 times the value of the goods.

§ 3 DELIVERY TERMS

1. If transport of the goods is the Buyer's responsibility, collection should take place within 3 days of notification of readiness for release.
2. For a delay in collection exceeding 7 days, BOMI may charge a contractual penalty amounting to 0.1% of the value of the goods for each day of delay.
3. BOMI has the right to withdraw from the contract if the delay in collection exceeds 60 days.
4. The Buyer is obliged to inspect the goods upon collection and sign the release document.
5. A signature on the collection document without reservations constitutes confirmation of the conformity of the delivery.
6. Any modification of the goods after collection excludes the possibility of a complaint.

§ 4 PRICING TERMS

1. Prices are specified in offers and order confirmations, as net values, to which VAT is added at the applicable rates.
2. BOMI reserves the right to change the price in the event of unforeseen market circumstances.
3. The Buyer is obliged to make payment on time in accordance with the terms specified in the invoice.
4. In the event of payment delays, BOMI has the right to suspend deliveries.

§ 5 COMPLAINT PROCEDURE

1. Complaints regarding hidden defects must be reported within 3 days of detection, but no later than within one year of the release of the goods.
2. Complaints require written form.
3. The Buyer is obliged to make the goods subject to the complaint available for assessment.
4. Responses to complaints are provided within 14 days.
5. BOMI may replace the defective goods or reduce their price.

§ 6 FINAL PROVISIONS

1. In matters not regulated by these GTS, the provisions of Polish law shall apply.
2. Any disputes arising from the performance of the contract shall be settled by the court competent for the registered office of BOMI.
3. The invalidity of individual provisions of the GTS does not affect the validity of the remaining provisions. In such a case, the Parties undertake to agree on new provisions corresponding as closely as possible to the original wording.
